By accessing or using the Scaval platform, you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, you may not use our platform or services.

We reserve the right to update or modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of the platform constitutes acceptance of the updated Terms.

User Accounts

Registration

To use certain features of the platform, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update it as needed.

Account Security

• Password Protection - You are responsible for maintaining the confidentiality of your password
• Unauthorized Access - You must notify us immediately of any unauthorized use of your account
• Account Activity - You are solely responsible for all activities that occur under your account
• Age Restriction - You must be at least 18 years old to create an account

Account Types

• Farmers - Individuals or entities selling agricultural produce
• Buyers - Individuals or entities purchasing agricultural produce
• Administrators - Platform managers and support staff

Use of Platform

Permitted Uses

You may use the platform for:

• Buying and selling agricultural products and services
• Accessing market information and analytics
• Connecting with other farmers and buyers
• Managing your farm operations and inventory

Prohibited Activities

You agree not to:

• Misuse Platform - Use the platform for any unlawful purpose
• Falsify Information - Provide false or misleading information
• Interfere - Interfere with or disrupt the platform's operation
• Circumvent Security - Bypass or circumvent security measures
• Harass - Harass, abuse, or threaten other users
• Scrape - Use automated systems to collect data from the platform
• Infringe Rights - Infringe on intellectual property rights

Transactions

Product Listings

Farmers are responsible for accurately describing their products, including:

• Quantity and quality specifications
• Pricing and availability
• Harvest dates and certifications

Orders and Payments

• Order Confirmation - Orders are binding upon confirmation
• Payment Processing - Payments are processed through our secure payment system
• Cancellations - Cancellation policies are determined by the seller
• Disputes - Dispute resolution procedures are available through the platform

Fees and Charges

Scaval charges fees for certain services as outlined in our fee schedule. All applicable fees will be disclosed before you complete a transaction.

User Content

Content Ownership

You retain ownership of content you post on the platform. However, by posting content, you grant Scaval a worldwide, royalty-free license to:

• Display and promote your content
• Analyze and improve the platform
• Share content with other users as intended

Content Standards

All content must be:

• Accurate and truthful
• Non-defamatory and non-harassing
• Compliant with applicable laws
• Free of offensive or objectionable material

Content Removal

We reserve the right to remove any content that violates these Terms or is otherwise objectionable, without prior notice.

Intellectual Property

All content on the Scaval platform, including text, graphics, logos, icons, images, audio clips, and software, is the property of Scaval or its content suppliers and is protected by copyright, trademark, and other intellectual property laws.

• Platform Materials - May not be reproduced, distributed, or used without permission
• Scaval Brand - Trademarks and logos are the exclusive property of Scaval
• User Content - Users retain ownership but grant usage rights as described above

Disclaimers

As-Is Basis

The platform and services are provided "as-is" and "as-available" without any warranties of any kind, either express or implied.

Market Information

Market data, pricing information, and analytics are provided for informational purposes only. We do not guarantee the accuracy of this information.

Third-Party Links

The platform may contain links to third-party websites. We are not responsible for the content or practices of these external sites.

Limitation of Liability

To the maximum extent permitted by law, Scaval shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from:

• Use or inability to use the platform
• Transactions conducted through the platform
• Unauthorized access to your account
• Third-party content or actions
• Interruption or errors in platform operation

Termination

We may terminate or suspend your account at any time, with or without cause, including for:

• Violation of these Terms
• Fraudulent or illegal activity
• Inactive accounts over extended periods
• At our sole discretion

Upon termination, your right to use the platform will immediately cease. You may request account deletion at any time.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Uganda, without regard to conflict of law principles.

Any dispute arising under these Terms shall be resolved through binding arbitration in Kampala, Uganda, unless otherwise required by law.
